Regarding the reorganization of Boryspil International Airport State Enterprise

The Ministry for Development of Communities and Territories of Ukraine, as an authorized governing body for Boryspil International Airport SE, adopted Order № 388 «On reorganization through form changing of Boryspil International Airport State Enterprise» dated February 26, 2026 (hereinafter referred to as the Order), approved the composition of the reorganization and inventory commissions.

By Order of the Cabinet of Ministers of Ukraine № 296-р dated April 1, 2026, «On approval of the reorganization of state-owned enterprises governed by the Ministry for Development of Communities and Territories of Ukraine», the decision regarding the reorganization of Boryspil International Airport State Enterprise (USREOU code 20572069) into a joint-stock company, 100 percent of the shares in the authorized capital of which belong to the state, was approved by The Ministry for Development of Communities and Territories of Ukraine.

It should be noted that in accordance with Article 108 of the Civil Code, the reorganization of a legal entity is a change in its form of legal entity’s incorporation, and in the event of reorganization all property, all rights and obligations of the previous legal entity are transferred to the newly formed one.

Also, Boryspil International Airport JSC is defined as the legal successor of the property, rights and obligations of Boryspil International Airport SE in Clause 8 of the Order hereinabove.

Thus, during the reorganization procedure, Boryspil International Airport SE will continue to carry out economic activities and fulfil the tasks assigned to it and the obligations assumed in full.
